Terms & Conditions
These Terms & Conditions ("Terms") govern your access to and use of the GlobeSign Manager ("GlobeSign Manager", "GlobeSign") website-care platform and related services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
GlobeSign Manager provides tools to monitor, protect, back up, maintain, analyze and report on websites you own or are authorized to manage. Features may change, improve or be discontinued over time.
2. Accounts & eligibility
You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity under your account. You must be at least the age of majority in your jurisdiction and authorized to accept these Terms on behalf of your organization.
3. Acceptable use
You agree to use the Service only for lawful purposes and only with websites and third-party accounts (including Google Analytics and Search Console) that you own or have permission to access. You agree not to:
- Break the law or infringe others' rights when using the Service;
- Attempt to gain unauthorized access to the Service, other accounts, or connected systems;
- Interfere with or disrupt the integrity or performance of the Service;
- Reverse engineer or misuse the Service except as permitted by law.
4. Third-party services
The Service can connect to third-party services such as Google Analytics and Google Search Console. Your use of those services remains subject to their own terms and policies. You are responsible for having the rights and permissions needed to connect any account or website. GlobeSign accesses third-party data only as you authorize and as described in our Privacy Policy.
5. Customer data
You retain ownership of the data you and your connected accounts provide to the Service. You grant GlobeSign the limited rights needed to process that data to provide and improve the Service. We handle personal information as described in our Privacy Policy.
6. Fees
Where the Service is offered on a paid basis, applicable fees, billing cycles and terms will be presented to you. Unless stated otherwise, fees are non-refundable except as required by law.
7. Intellectual property
The Service, including its software, design and content (excluding your data), is owned by GlobeSign and its licensors and is protected by intellectual-property laws. These Terms do not grant you any rights in the Service other than the limited right to use it.
8. Availability & changes
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue any part of the Service, and we may update these Terms from time to time; continued use after changes take effect constitutes acceptance.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. GlobeSign does not warrant that the Service will meet your requirements or that data, metrics or reports will be complete, accurate or error-free.
10. Limitation of liability
To the maximum extent permitted by law, GlobeSign and its suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising from or related to your use of the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the amount you paid to us for the Service in the twelve (12) months before the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold GlobeSign harmless from any claims, damages, losses and expenses (including reasonable legal fees) arising from your use of the Service, your data, or your violation of these Terms or applicable law.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Upon termination, your right to use the Service ceases; certain provisions (such as ownership, disclaimers and limitation of liability) survive.
13. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute arising out of or relating to these Terms or the Service, subject to any mandatory rights you may have under applicable law.
